A retired senior justice of the Appellate Division of the New York Supreme Court and former Commercial Division Justice, Judge Crane has confronted complex business and commercial litigations and appeals as a judge.  As one of the five original Commercial Division judges in the State of New York his caseload for over five years consisted of just such disputes.

Since joining JAMS in 2008, Judge Crane has had a substantial caseload as a neutral in mediating, arbitrating and supervising issues involved in commercial and business cases.

Representative Matters

  • Action to fix the value of minority shares in a close corporation pursuant to Business Corporation Law §1118
  • Action in quantum meruit for an attorney’s fee bonus above time charges with counterclaims for legal malpractice in complex estate proceeding
  • Corporate dissolution proceeding requiring valuation of shares and the application of a lack-of-marketability discount to the entire value of the stock rather than to good will alone
  • Action on a guarantee where the guarantor had not consented to modifications of the terms of the note that was the subject of the guarantee
  • Action for breach of an employee’s duty of loyalty, with a different measure of damages than for breach of a covenant not to compete after his resignation, and his forfeiture of his profit participation by resigning before the end of the year  
  • Action to collect judgments by reverse piercing the corporate veil under Florida law
  • Action for imprudent investments by a fiduciary who retained the originating corpus while the stock declined in value complicated by the issue of collateral estoppel of the beneficiary challenging the fiduciary’s accountant
  • Action for breach of representations and warranties by a seller of a business with additional claims of fraud
  • Partnership dispute involving charges of freeze out, breach of loyalty and diversion of partnership business
  • Division of ownership interests in numerous jointly owned entities in the business of insurance, reinsurance and related activities as part of equitable distribution between divorcing spouses
  • Dispute over reasonable scope of work and compensation for services of forensic accountants investigating accounting frauds at several divisions of the corporation
  • Partnership post-dissolution dispute over exploitation of good will to the exclusion of the other partner
  • Action against a commercial bank for a series of wrongful dishonor of checks forcing the plaintiff out of business
  • Complex accounting of a partnership dissolution including questions of inclusion of stock options attributed to each partner for outside service on boards of directors and the deductibility of legal fees and office expenses
  • Claim for compensation of a placement agent against a private equity firm for services in marketing limited partnership interests in an investment fund
  • Claims between former law partners for conversion, breach of fiduciary duty, fraud, and breach of contract stemming from expiration of partnership agreement, entitlement to fees on certain cases and right to continued tenancy
  • Mediated an agreement for the withdrawal of a member of a law firm LLC
  • Dispute between family members requiring withdrawal from one corporation and the reconfiguration of memberships in four LLC's holding parcels of real property
  • Claims of an investor of a now incarcerated investment advisor against the advisor's accounting firm
  • Dispute over performance of a contract to save vendor's fees on credit card transactions
  • Dispute between lender and owner of factory in foreign country over the obligations to repay and the breach of the lender's undertaking to handle the relations of the factory owner with the foreign government
  • Claims of breaches of representatives and warranties in an agreement for sale of loans to a trust for the benefit of certificate holders
  • Claims to damages under RICO and for fraud against organizing member of investment banking firm by the majority investor
