Challenging Times for M&A Insurance

About the EventThis program will trace the development of transactional liability policies and how the M&A markets have increasingly adopted these policies in private and public M&A transactions. A brief overview of the various types of transactional liability policies, their mechanics and their key provisions will be addressed with a focus on the claims history of these policies. Specific examples from known claims, arbitrations and litigations will be provided and analyzed. The panelists also will utilize AIG’s Mergers and Acquisitions 2019 Claims Report, Taxing Times for M&A Insurance, as the focal point for a discussion about claims trends, the types of claims buyers of transactional insurance policies are making and why transactional insurance has the potential for both frequent and severe claims. The panelists will explain and discuss how the frequency and severity of claims is affecting the transactional insurance market and will share their experiences in utilizing various techniques and approaches as alternatives to arbitration and litigation in resolving M&A insurance claims. The panelists include JAMS’ neutrals with deep insurance expertise, policyholder and insurer counsel with considerable experience in placing and resolving claims under transactional insurance policies, brokers who place these policies and assist in resolving claims made under the policies and the insurers who underwrite and sell these policies.
